Terms and Conditions (T&Cs)
1. Definitions and Scope
1.1 Operator: SCAILE Technologies GmbH, Jungfrauenthal 8, 20149 Hamburg, Germany; HRB 191310, Amtsgericht Hamburg.
1.2 Platform: the digital services available at https://www.scaile.it operated by SCAILE Technologies GmbH.
1.3 Users: all natural or legal persons who access or register on the Platform, including Consumers (§ 13 BGB) and Entrepreneurs (§ 14 BGB).
1.4 Scope: these Terms & Conditions (“T&C”) apply to all contracts for use and paid services concluded via the Platform. They also govern future contracts unless expressly varied in writing. Deviating terms of Users require express written consent.
2. Establishment of the Usage Relationship
2.1 Registration: A usage relationship arises when a User registers via the Platform or submits an order to SCAILE Technologies GmbH. Publicly accessible content remains available without registration.
2.2 Age and Capacity: Users must be at least 18 years old with full legal capacity. Users are responsible for maintaining confidentiality of their account credentials.
2.3 Corporate Representation: Company accounts may only be registered by duly authorized representatives of SCAILE Technologies GmbH’s corporate clients. SCAILE Technologies GmbH may verify authorization at any time.
2.4 Trial Services: Non‑binding analyses or demos provided by SCAILE Technologies GmbH do not create payment obligations unless the User orders paid services.
3. Offer, Conclusion of Contract
3.1 Offer: Service descriptions and prices on the Platform are non‑binding. A binding offer from SCAILE Technologies GmbH requires explicit acceptance (order confirmation or commencement of service).
3.2 Order Process: Users submit orders via the Platform. Acceptance by SCAILE Technologies GmbH occurs by email confirmation or by performing the service. The contract language is German.
4. Services
4.1 Analysis & Quote: SCAILE Technologies GmbH’s automated analysis based on User inputs produces a non‑binding cost estimate. Results are for personal use only and may not be shared.
4.2 Project Execution: Upon acceptance, SCAILE Technologies GmbH executes the agreed services. SCAILE Technologies GmbH may subcontract parts of the work. Referral to external partners creates a separate direct contract between the User and the partner.
4.3 Funding Services: If a funding application coordinated by SCAILE Technologies GmbH fails, SCAILE Technologies GmbH refunds the pro‑rata fee for funding consulting. Other fees are non‑refundable except as required by law.
5. Fees and Payment
Fees and payment terms are specified in individual offers by SCAILE Technologies GmbH. Payment is due within 14 days of invoice receipt. Late payment incurs interest at 9 percentage points above the ECB base rate (§ 288 BGB) and may lead to service suspension. Accepted payment methods: SEPA, credit card, PayPal.
6. Right of Withdrawal
Consumers may withdraw from distance contracts with SCAILE Technologies GmbH within 14 days without giving reasons (§ 312g, 355 BGB). Detailed instructions are in the separate Withdrawal Policy at /withdrawal.
7. User Obligations
Provide true and complete data to SCAILE Technologies GmbH;
Maintain confidentiality of login credentials;
Refrain from unlawful or disruptive behavior;
Not upload infringing or harmful content.
8. Intellectual Property
All Platform content, software, and materials provided by SCAILE Technologies GmbH are protected by copyright and remain the property of SCAILE Technologies GmbH or its licensors. Users receive a limited, non‑exclusive license to use the Platform for its intended purpose. Further use requires SCAILE Technologies GmbH’s written consent.
9. Data Protection
User data is processed by SCAILE Technologies GmbH in accordance with GDPR and BDSG as detailed in our Privacy Policy at /privacy. By using the Platform, Users consent to this processing.
10. Warranty
For Consumers, statutory warranty rights apply to services from SCAILE Technologies GmbH. For Entrepreneurs, warranty claims expire one year from delivery (§ 438 BGB), except for concealed defects or fraudulent intent.
11. Limitation of Liability
SCAILE Technologies GmbH’s liability for intent or gross negligence is unlimited. For simple negligence, liability is limited to breach of essential contractual obligations and to typical foreseeable damage. Liability under the Product Liability Act remains unaffected.
12. Termination and Suspension
Free services from SCAILE Technologies GmbH may be terminated at any time. Paid services run for the term agreed; thereafter they may be terminated with 30 days’ notice. SCAILE Technologies GmbH may suspend or terminate accounts for breach of these T&C, unlawful use, or non‑payment.
13. Amendments to the T&C
SCAILE Technologies GmbH may amend these T&C with 30 days’ notice. Continued use constitutes acceptance. For material changes, explicit consent is obtained where required by law.
14. Applicable Law and Jurisdiction
These T&C and all disputes arising thereunder are governed by German law, excluding UN sales law. For Consumers, mandatory statutory jurisdiction rules apply. Otherwise, the exclusive place of jurisdiction is Hamburg.
15. Alternative Dispute Resolution
The EU Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr. SCAILE Technologies GmbH is not obliged to participate in consumer arbitration proceedings.
